Explanation of Responses:

1. 1,568 time based shares granted on February 21, 2023 which vest in three equal annual installments beginning on or about the first anniversary of the grant, and 2,352 performance shares granted on February 21, 2023 which vest on or about the third anniversary of the grant pursuant to the achievement of certain performance metrics ranging from 0% to 200%. 3,178 shares beneficially held prior to the Reporting Person becoming a Section 16 officer.
